At an extraordinary meeting of the Shanghai Land Investment Company. Ltd., last week, called for the purpose of obtaining sanction for an increase of capital to Tis 5,530,000 by the creation of 30,000 additional ordinary shures of Tis. 50, at a premium of Tis. 40. Mr. Brook Smith said that he considered the proposed premium was not justified andĮ moved the following amendment:

In the course of a speech Mr. Brook Smith said:-The directors appear to have been guided in arriving at the de tails of the resolution by the fact that the investing public in recent years has been satisfied with a return of 61 per cent, per aunum. This was due in a measure to cheap money and the possible anticipa- tion by many investors that a new issue tf of shares shortly would be effected. the resolution is adopted many share- helders will be disappointed and I am of the opinion that the old and new shares will only be salcable on a 7 per cent. basis. This means that the old shares will drop to Tis, 110 per share and the new ones will advance to that figure. The market depreciation on the old shares only wil be made good by appreciation of the new shares and so there will be no beaeft, shareholders. Further, it is

provided that the company is able to pay Tls. per annum on the old and new shares, which is problematical. I do not know that T

say anything further on this amendment. but I ask you to give it your support and I hope that all present will support it by a show of hands, because when I arrived this morning it was in- dicated by the Chairman that the direc- tors were not prepared to vote for the amendment, but at the same time they would not oppose it. Therefore, if a show of hands will carry it, I think all the shareholders present must vote in favour. The amendment having been seconded by Mr. A. W. Burkill, was put to the meeting and, with the directors abstaining from voting. was carried upanimously. The resolution then was put as amended and also carried unanimously.
