Addressing the shareholders, the Chair. MAN said: As is now past the hour for which this meeting was convened, . I will' call upon the Secretary to read the notice convening the same.

The notice, as you are aware, is one which convenes not only this meeting, but also à further piceting to be held on Wednesday, November 5th next, at noon, and, as you are aware, this last mentioned meeting is concerned with additional bank- ness to that which is the object of this weeting.

I propose therefore, unless any share holder inukes a contrary suggestion, that the secretary shall only read such part of the notice in question as concerns this meeting and the business before this meeting, and that he shall refrain from reading the remainder of the notice." With regard to the draft new articles, your Consulting Committee consider that in the interests of the company, they need bringing up to date. The existing arti- cles have been in force in their presens form since the incorporation of the com- pany in the year 1983 and require vari- ous alterations and additional powers to bring ther into line with the general and usual form of articles now adopted by companies in this Colony. Our solicitors have therefore, in consultation with your" General Managers prepared a new set of articles for the company which has the approval of your consulting committee.

Prints of the existing articles and of the druft new articles have, as indicated in the notice convening this meeting, been open for inspection by shareholders at the Company's registered office, and there are also copies of both the existing and the draft new articles on this table which, if any shareholder desires, he may inspect.

In the circular letter to shareholders | sent out with the notice convening this! mccting, attention was drawn to a nu-motion was carried unanimously.

No. 90 the General Managers' remuneration is the same as that provided by the original agree- meat with them' dated the 24th July, 1983, but the remuneration of local Agents at out-ports is to be paid by the Company pursuant to Articles 90, 115K and 117 instead of by the General Managers as provided by Clause 14 of the Agreement. The General Managers Buggest that this Agents remuneration should be paid by the Company.

6-By Article 116 (e) the General Managers, with the consent of the Con- Bulting Committee, have power to transfer Aumis from the Insurance Accounts to other Accounts and den! with the same.

Under Article No. 129

provision is made for the Capitalization of the Reserve Fund,

If no questions are asked or explana- tion sought, I shall assume that you ap- prove of the draft, new articles as pre- sented, and will thereupon propose the resolution regarding the same which in set out in the notice couvening this meet- ing

Thore being no questions, the Cin MAN proposed the following Resolution as an Extraordinary Resolution, namely: "That the new articles already ap- proved by this meeting and for the purpose of identification subscribed by the Chairman thereof be and the same are hereby adopted as the Articles of the Company to the exclusion of ind in substitution for all the existing articles thereof.
