The secretary having read the notice convening the meeting, the report of the proceedings of the meeting held on 28th Jaanry were read. The CHAIRMAN then proposed that this Report be confirmed (2) All amounts owing by the Chinese and that the Extraordinary Resolutions" Government, prior to the Great War passed on 28th Jnauary he also confirmed (totalling 834,000,000) to the four German Special Resolutions. The suggested new Articles of Association are similar to the old, subject to elerical alterations and to the following alterations of substance, viz: —

(1) The deletion from Article 71 of the words and holding or representing by

proxy not less thau ong-teath of the issued Capital.”

(2) The alteration of the minimum number of Directore to four and of the
