A legal correspondent writing to the Times says:~
Opinion is hardoning as to a variety of amendments required in the Companies (Consolidation) Act, 1909, and you re- ferred in your issue of Tuesday to the very necessary amplification of accounts and to die, hitherto, frequent lumping together in published balance-sheets of assets, to differentiate which defies the keanest wit of man. So far as we know, there is no legal dofinition of balance sheet extant, but, in everyday practico, so long as the debit and credit columns agroe in amount, anything in the shape of a presentation of liabilities and assets is decined to be accepted by the shareholder. But it is worth while pointing pat, by way of supplement to your remarks, that there is already available one method by which an inquiring shareholder may, if ho cannot get what he wants, at any rate put a little salt on the tail of his too reticent empathy.

it seems to me that, wher persons have to look at these balancesheets for the purpose of getting information, different considera- tions apply to different classes of assets, and that separate figures must be given for those different classes assets, because otherwise there are not particulars which, disclose the general nature of the assets.
The frames of the Act intended! that suparate values should be given for different kinds of fixed assets.
In view of the above decision, the lumping together of tangible and iu- tangible assets can be prevented, so far as the annual summary required by the Act is concorned. The aim of the Legislature was to securo the disclosure of certain material facts, for the informa- tion of creditors, and perhaps more of shareholders, for it will be noted that private companies are exempt from operation of the sub-section. There was no intention to be inquisitorial, but, as a matter of fact, companies have con- sistently disregarded the direction, modest though it be. The sub-section was devised to enable intending creditors or intending shareholders to form an ap- proximale idea of the company's financial position. To mik up an evanescent asset like goodwill with tangible or easily realizable assets is what the law desires to prevent. The Act insists on a disclosure as to how the value of the fixed assets has been arrived at. Thereby the company is forced into giving a separate estimate of the fixed assets from time to time and into assisting the shareholder to form an idea of the earning capacity of the
concern.
In view of Lord Alverstone's opinion that it is not possible to say that a particular balance sheet complies with the Aet until the nature of the items is} CATHAY. known, it is not easy to dogmatize as to the legal differentation of assets: but one thing appears plain, that the privacy supposed to be required by trading com- panies to prevent disclosure to trade rivals hang ben grossly abused, and, that shareholders might healthily exercise a by means of the law as at present decided. little more pressure on many companies
