The nineteenth annual general inceting of this Bank was held on the 2nd inst., nt Winchester House, Old Broad-street, E.C., Mr. R. J. Black (chairman of the. Company) presiding.

The Chial Manager (Mr. James Camp- bell) read the notice convening the meet- ing.

The CHALEMAN said:-Goutleuch, I have to express the regret of my colleague, Mr. Ryrie, at being unable to be present at to-day's meeting, owing to a short absonce in India on, business. With your per mission I will, as usual, take the report and accounts as read, and before putting the resolution to the meeting for the adoption of same I have a few remarke to make. Surveying, therefore, the situation generally from An Eastern bank's point of view, I look upon 1911 as a moderate year. It opened with distinct promise, but in the second half of the year the incidents I have just mentioned checked the prosperity of the year as a whole. Taking everything into consideration, however, I do not think we have very much to complain of in the resulta, as shown in ho sccounts now boforo you. The net profit is £84,902 12%. Bel, which maintains its steady upward course, and, in fact, is the largest we have ever shown. As usual, the reserve fund has received our first attention, as it must for still some little time to come; and by again adding £40,000 to it we have raised, it to £365,000. After making the usual contribution to the officers' pension fund, and providing for a further and anal dividend on the "A" and "B" shares of 33 per cent.. for the half-year, we carry forward to 1812, £29, 139 178. Id. I do not think there is anything in the accounts which calls for further comment or explanation from me. They maintain their progressive characteristic, which has now for a good many years been so noticeable, and, I think, gratifying, to us all. Should you, however, desire to ask any questions I shall be glad to give you such information as is within my. power. I now propose, "That the report of the directors, with the audited state- ment of accounts and balance-sheet at December 31st, 1911, presented to this mecting, be and the same are hereby received, approved, and adopted; and that a dividend on the "A" and "B" shares of this bank at the rate of 34 per cent free of income-tax, for the six mouths ended December 31st, 1910 (mak- ing 7 per cent, for the year), as recom- mended in the report, be and the same, is hereby confirmed."

Mr. J. A. MAITLAND seconded the resolu- tion.

THE RESERVA FUND,

Mr. PHILLIPS, referring to the chair-! man's remark that the reserve fund must receive the board's first attention, said he thought that sometimes the shareholders should first receive consideration. The dividend represented only a moderate return on the price that some of them had paid for their shares.

Mr. REGINALD MURRAY Baid he was of opinion that the directors, in adding to the reserve fund, were giving considera tion to the shareholders' interests in thể best possible way. (Hear, hear.)

The CHAIRMAN, in reply, expressed the view that in adopting the course they had done the shareholders' interests

receiving the best possible attention. He might remind them that whereas the bank's shares stood at under £8 within the last eight years, they were now £19. That improvement was due, he thought, to the fact that they had a mbatantial reserve fund. However, Mr. Phillips' remarks would not be lost sight of, and whenever the board saw their way to increase the dividend they would be happy to do, so. They must, however, adhere to their polity of first strengthening the reserves. The resolution was carried ananimously.

The CHAIRMAN moved the re-election of Mr. J. A. Maitland and Mr. H. Melvill Simons..

Sir DAVID YULE seconded the motion, and it was unanimously agreed to, the auditors, Messrs. Cooper Brothers & Co. and Messrs. W. A. Browne & Co., being also reappointed.

Mr. McGAWEAN proposada vote of thanks to the chairman and directors, the chief manager, and all the officers of the bank for their excellent conduct of the bank's affairs in the past year. He endorsed what had been said as to the importance of building up a big reserve. Mr. J. MAGANDEEW, in seconding the motion, said he shared the opinion that it was highly advisable for the credit of the bank that they should continue, adding to the reserve fand, and he for one would have been very sorry if the extra profits made during the period under review had boon simply applied in the payment of

No increased dividend would come in time, but he thought he voiced the opinion of the shareholders generally in saying that," like himself, they were well content ta wait for that eventuality. The CHAIRMAN acknowledged the vole, and thanked the shareholders for the way in which they had identified themselves with the board's policy of building up the reserve.
