Indeed, the argument may be earried further, by suggesting that every company, great or small, that goes into Tiquidation, voluntarily or otherwise, without paying 20s. in the pound to its creditors and contributories, should be automatically sub ject to public official investigation. As the law now stands there are three courses open for winding up companies (1) By order of the Court; (2) by voluntary winding-up, sub. ject to the supervision of the Court and NEW (3) by voluntary winding-up, without the intervention of the Court. The second course quoted is seldom pursued; according to at least one Judge in recent times, it does not seem to be a satisfactory process ; and in any revision of the Companies Act that. hybrid provision might usefully be deleted.
As to companies wound up by order of the Court, extended provisions are needed to ensure that it shall be the rule-instead of the exception, now for certain stages of the official proceedings In relation to the examination of directors and other responsible officers to be publicly conducted. As to voluntary winding-up, the object of this article dealing with that aspect of the sub- ject is to submit(a) That voluntary wind- ing-up should be abolished, excepting for the purpose of commencing liquidation," in "the same sense that an individual may file his own petition in bankruptcy; or that voluntary winding-up should be allowed, as. under existing law, up to a certain point, but subject to restriction of the liquidator's powers and to his transactions being re viewed by the Official Receiver, by whom alive the winding-up should in all cases he completed..
COMPULSORY WINDING-UP.
It is not easy to say what rule-if there really be one is followed by the Official Receiver in determining whether any director or directors of a company whose affairs are officially investigated shall be examined privately or in public. It may be that there is no hard or first rule. Probably each case is judged on its merits. But, according to impressions-gained by shareholders who have had occasion to make inquiries at Carey- street, it seems that an official order for a public examination may generally, although not necessarily, be interpreted as an imputa- tion of fraud or of some other grave.itre- gularity. That appears to be the reason why so many companies that go into com-

That is what the law demands in In dividual bankruptcies. A man may become insolvent through no fault of his own; still; if he goes into the Bankruptcy Court he must face a public ordeal, and in the public interest it is not desirable that the law should be otherwise. If seven men trade separately and fail, each must be examined in open Court. Why should they have the benefit of privacy if they amalgamate their busi nesses and the joint venture, is a failure? The knowledge that in the ordinary course public examination will follow liquidation would tend to make directors more careful to acquaint themselves with details of the working and conduct of the companies o which they lend their names and from whichi they draw fees. More care on the part of directors would probably mean less company failures. Moreover, in cases where public. examinations took place shareholders would often have opportunities to gain enlighten- ment upon matters not within the knowledge of the Official Receiver or upon points which it might not be easy to fully elicit at an examination in camera. Under existing practice the majority of the directors of cars pants that go into compulsory liquidation are seldom examined on oath, and never i a-duly constituted Court, and, if examined: at all, then merely in a private room, where
