PEGOH, LIMITED.

COMPANY TO BE TRANSFERRED TO

LONDON.

INTERIM DIVIDEND DECL'EBD.

undermentioned resolutions:-

INTIMATION

"Certainty is what man soaks in everything."

An extraordinary general meeting of Pegoh. The man who buys a Model 10 visible REMINGTON Ltd., was held at trosham House, Singapore, TYPEWRITER BUYS absolute certainty; a certainty last week for the purposes-of-submitting the of satisfaction guaranteed by the greatest typewriter

(1)- That the director. be authorised to sell makers in the world. the company's property to a London company called the Pegoh Lubber Plantations, Limited, for the consideration and upon the terms ret forth in the clecular submitted to the share holders.

(2) That the directors bo authorised to affir the company's sent to an agreement embodying ach terms and to do all cata necessary o ads inble for the carrying out thereof;

(3)-That the directors be also authorised to assent to such modifications in the forms and conditions of the said arrangement or the agreement consequent thereon as they shall from time to time deem expedient, and to allx the company's seal to all proper agreements and other documents embodying the same.

M. Sime presided, others present in- cluding Messrs. G. A. Berrick, 8. W. Moor house, A. W. Boan, W. Blann, W. L. Watkin, C. Emerson, A. E. Baddeley, Capt. Ralph, W. Hair and H.Robinson.

NO SALE CONTEMPLATED, The Chairman aid he did not think he could eny much as regarda the pros and cons of the selene, which was very important our, although he would impress upon them that they were not making a sale of the It was being transferred to Lon- company. den on a slezing basis and to comply with lais rules of the stock exchange and shers wa kets in London it was necessary that a cur- lein amount of capital must be sat aside for the

Looden public. The agindo was at present pay. ing and was practically working on a revenue usste, and the catre capital of $11,000, plus the proposed premium to be called up, would bring in £14.500. £12,450 would be spant in further developmnts. They would notice that the nominal capital of £250,000 was rather high, bat undoubtedly there were a number of small ex- tutes in Malacca that unfortunately could not Bee their way to carry on for want of finance, and it was the intention of the directors that in future, as opportunity offered and if prices were reasonable, to buy them

Due

It had been impressed a upon directors time and agalu that Singapore was a very re. stricted market in rubbor especially, and although they would be relieving Singapore of of the best frompanios they would be deing good to the company and to themselves. The scheme had been before their chairmen, Mr W. M. Sime-for whom he (the speaker) was acting in fact he was the originator of the scheme which had the full approval of the directors. There were some very influential men on the board, men who led the interests of the company at heart and who knew the conditions of life and the working of estates in this country. Mr. Bine intended returning to the East, and he sad Mr. Bean would est practically as a local committee. Of course there were one or two triding disadvantages in tesurferring com- panies. There were the formation expenses, Unt those were only £2,000, while the liqahla- tion expenses here were infinitesimal. The report on the condition of the estate us on October 1 showed that everything was in впреттіsіод. apple pie order and was under the of one of the best, if not the best, planter in the East. The 12 per cent, dividend estimated to be available for distribution nuong shareholders af Tegob, Ltd., would be paid in essh. and this won a very conservative estimate. The directors had decided to declare out of that an interio dividend of 7å present..

ROSPECTIVE DIVIDENDE

Mr Blum naked want the agrautages wero to the

of sharchoklars in transferring pajority the company. It looked a. Bing thing for those who who camo io at, par but those paid much higher prices would lose money, The

.company was now doing remarkably well,

had 64,185 lbs. of rubber for the first eight months in the year, the last three months had averaged 10,000lbs. and they could reasonably say another 40,000 by the end of the year; that would give 25 per cent, dividend, which was good enough, and he did not think they would get that if the comptay wont to ondon.

The Chairisu mentioned that a very con servative estimate had been made showing that on the present capital they would have an average dividend of 30 per ent. They had a wider market in Lonton for their shares, and if Mr. Blaau had bought at high prices he would be able to dispose of his shares there...

The fret motio proposed by the Chairman, and secondel by Mr Bean, was put to the meeting, and carried, Mr. Blaan and Capt. Ralph alone-yoting against its adoption,

Mr. Derrick observed that in consequence of the numerous changes out here, especially among European residents, it was beneficial froh an investment point of view to have their shares

on the London market:
