SHARE REPORT.
THE PEKING SYNDICATE.
An extraclinary general meeting was held on the 23rd alt, at the Cannon-street Hotel London to consider a resolution approving a Bill introduced into Parliament to organizo the share capital of the syndicate and to provide for the redistribution and appropriation of the shares in the reorganized capital. Mr. Carl Meyer presided.
The Chairman, in moring the resolution, said portance to the nuification proposals, he did not that, although the hoars attached great im wish the shareholders to think that the syndicate's fortunes were absolutely bound up with the acceptance or the non-accep tance of the scheme. Whether they endorsed it, as he hoped they would, or not. He could assure
then that the chances of HYLDENS for the syndicate would not be affected. They had arrived at the period in its history when what at one time might have been described as problematical was no longer no. It had taken a long time to bring about the present position, but the bear were no longer doubtful of a happy termination of their labours, and it was because they were now within measurable distance of distributing dividends that they asked the shareholders te fucilitate their task in passing the unification proposals, so that when the dividends came to be distributed there might be no undas huggling or wrangling over the spoils. He dealt with certain objections which had been raised to the scheine. and said that the board bad tried to hold fairly the balance between the different classes of shareholders. There hal been protests emanating from all three classes, which to his aind was the best proof that the proposals were eminently fair to all of them.
Mr. G. Jannieson seconded the resolution, Mr. Torr said he felt that the schems pre- served foreach class of shareholders as accurately as possible the rights that they possessed under the existing articles, and he therefore heartily commended it as being, roughly speaking, as fair a shenis as it was prastienble for the wit of man to devise on such a lifficult question. The to make, with the approval of the directors, slight points, however, on which the committee desired amendments were these (1) that the Bill should to the sinking fund certificates should be raised be amended so as to provide tlust the 10 per cent. to 20 per cent. and the clause giving them one- half of the surplus earnings over 10 per cent. syndicate should be employed only in the should be deleted; (2) that the capital of the development of the Shansi and Honan Conces- sions, and matters incidental therto until the sinking fand certificates had been whelly redesmes; and (3) that the hollers of bearer warrants should have the right of voting by proxy.
