Thousands of small companies will be con sidering their status and amending their articles of association, for private companies will probably be more anxious than ever to avail themselves of the privileges the Act afforda them.

The private company is relieved of the duty of filing at Somerset House a return of its seats and liabilities, whereas the public company will, under the new Act, have to supply not only the returns which have been required before, but a copy of the annual balance sheet, and in this must be shown the total amount of commissions paid or disocants allowed on the issue of shares or debentures.

Every public company, too must by Dotabor 1 send to the Registrar a statement of the total amount of debta ssoured by mortgages and charges outstanding on July 1, and orested before 1900,

The private ompany is hemmed in by stringent regulations.

It is bound to restrict the right to transfer its shares, it must limit the number of its members (exclusive of employees) to afty, and It is prohibited from inviting the public to aubsoribe for shares or debentures.

On the other hand, while in the old Act a minimum of seven members was requirel, two members only will be required in the cus of a private company: ****

In regard to foreign companies, the bot lays down a regulation that a fore company having an office and carrying on bones in this country shall file at Somerset House any its charter or articles of association, and
