His Lordship-I should have to consider it. but I could not decide at once to the affect of Mr. McNeill-Perhaps your Lordship would reserve your judgement on that point?
Mr. Home said that if bis Lordship saw the doonment and he did not see it he would not be able to argue on it. Mr. MoNeill had seen the document and so counsel would be placed at a dieadvantage in any agreement on it. He suggested that counsel should not argus upon
it,
Mr. McNeill then pointed out that the Company's Articles of Association contained a defnits clause that all disputes between the company and the shareholders, either on the artides or the Hongkong Ordinances, should be referred to arbitration,
Mr. Home said that he did not see that this affected the matter.
His Lordship said that Mr. Douglas was shareholder and the majority were entitled to govern the Company and they were governing it. Therefore, prima facie as a shareholder he con voi interfere in the interval affairs of the
company unless he could show the under the Articles of Association or by law he had a right, then he would get it: Unless he could show that particular right his Lordship would always prost that the company was in charge of the majority.
Mr. Home said that he asked his Lordship to to go farther than that. The plaintiff was bot only a shareholder; bat he represented other and larger interests in the company.
Ilis Lordship replied that it did not matter whether the interests were large or small,
Mr. Iloms--But thore is a farther genera! and equitable right.
His Lordship That issue would be amply if you were not going to infer from it that they had not done something which they ought to

His Lordship You would then ooms to court with your charge and ask for a penalty to be lanposed. The award might be contested, and if it was upheld by the court then the penalty would have to be enforced,
Mr. Home-If this is referred to arbitration we shall be in the same difficalty as regards argument upon the meaning of the document As we are here, because I am not acquainted with the contents of the document,
His Lordship-There is no way of getting over that. It would be quite fair to have an serangement that you should see Mr. McNeill's statement or perhaps that there should be no argument at all.
