THE HONGKONG DAILY FRESS, SATURDAY, MARCH 3RD 1906,

AN INTERESTING HONGKONG BANKING CASE.

Judgmont has been given in the action Ednia H Lamme. The International Banking Corporation Bad the American Ceramercial Co. which has been tried at Shanghai by the Hon. James L Rogers, U.S. Consal-General, sitting as Judge. We have already given the substanco of the case. The judgment delivered by bis Honour roads as follows:

JOINT STOCK SHARES.

Mesara. Vernon & Susyth say in their weakly share report dated Hongkong March 2ud: We have nothing of ony importance to report. The dulness of the market has become even more accentusted, and rates generally have ruled. enker. The little business which has been desaltery unter and cannot be anch relied on transacted during the week has been of a very 33 sure judication to the market. As a matter of fact, generally speaking, there is no market worthy of the name, and every transaction in ade en ite owa bottom with but little respect fur quoted rates.

BASES, Hongkong and Shanghais have ruled quiet at $860, ox div. and boons of 15 paid on the 26th fustant, Small sales are reported at that rate. The latest London quotat ou ex dividend is £91 10s. Nationals continue in demand and without sales at quota- Lion.

MARINE INSURANCES.-Unious have been in demand at $750 and China Traders at 303 to 304, but very few ghares of either are available, nad little or no business has resulted. Cantone romsin in dvonad at $110. Wo bate no local business to report in the Northern Insurances, FIRE INSURANces-Hongkongs have been vegotiated at $3221, but clean with sellors at 320. Chinas coutinue in a small demand at on without bringing any shares on the

market.

The statement of facts in this action is that the plaints, Edwin H. Lamme, an attorney-at. law, practicing in Shanghai, rendered legal services to the American Commercial Company, a corporation organizouder the laws of the District of Columbia, Waited States of Americs, and doing business in various Aristic cities but more particularly in Canton; that in the spring of the year 1905 litigation against said Company was instituted and its business suspoaded by order of the American Consular authorities at Cauton; that of its offlers, managers and emloyees there any remained in China, so far as is known, Edward Edwards, Vice-President, a Director and General Mon- BEOT,

of record; that the mid as appears Edwards, on July 97, 1995, in the Court of the American Consulate Goneral, Shaughni, con fessed judgment for the American Commercial Company

in behalf

of the mid Lamnia ou a anit ALOTCHES,

for $2,150 Mexican, representing bill for legal SPOTA. BLACKHEADS Service; that before said judg out was entered PIMPLES,

full evidengo was taken to establish thes authority of Edwards to an act on behalf of

SHIPPING Hongkong, Canton and Macaos the Amories Commercial Company; that it appeared that the associates of Elwards in have changed hands in small lots at $241 and the corporation had Lt Chien and their, and Douglas's at $10. ludos continu whereabouts were un own; that following the judgment given in Shanghai, Lumma sccepted from Edwards as satisfaction of his judginent, ertain certificate of deposit, in favour of the American Commercial Company, in the sum of $2,000 Mexican issued by the Hongkong brauch of the International Bauking Corporation, the said certificate of deposit being due and payable un and after November 25th, 1905; that upon presentation of the certificate ondorsed by the American Commercial Company, per Elward Edwards, Manager, and by Lamme as oWEIT of under title of assignment in satisfaction judgment, payment was refused on the ground that the certificate of deposit was not negotiable and that sufficient evidence was not prothed to satisfy the bank that Edwards had the authority to act for the American Commercial Company: that thereupon Lamme krought suit against the International Banking Corporation and the American Commercial Company, service on the defendanta being obtained in Shangbai.

It has been contended by the defendnat, the International Banking Corporation, that thoi8 is a lack of jurisdiction iunch as the contract represented by the certificate of deposit was made in the city of Hongkong where Foglish law should govern, and that as the certificate of deposit is plainly tracked and thoroughly understond to be non-negotiable it could not be assigned and title to it could not pass, the same being rested fo the American Commercial Company, which corperation should apply for it in a manner and form satisfactoryou the isyan of a report showing a decraise of to the bank.

earnings for the correspon ling period of 1904 of $31.123.80 have declined to $140, after sales at $144 and $141, market closing quiet at the first name rate. Humphreys are reported at $11.75 and $11.65 closing with sellers at the former rate.

I a a pars to the Court that the only pressing material issue in this question is that involving the propriety and legality of the bank's cou tention as to the non-negotiability of the certificate of deposit and the refusal to recognise the authority of Edwards to transfer title. "Hed the American Commercial Company had a good standing, and had there been no consideration of facts involved by the knowledge to the contrary it ia perhaps safe to assume that no such opposition on the part of the bank would hero MISCELLANEOUS. We have nothing farther to the question which confronted us offeus of the bank, and the order in satisfaction of judgment repert under this heading. directly connecting the certificate of deposit might with propriety be attacked on the ground that the lank had no opporturily to appear or be hard.

As a matter of law wall stained by the highest

athorities, and as a moral du1y. it appears to me that the contention of the non- negotiability of the certificate of deposit and the lack of authority to assign should be sustained. The tans of the United States of. America provide a ready for such a condition as that involved and in my opinion they should be invoked by an app iation for the appointment of a receiver for the American Commercial Company, since it is manifestly improbable, if not impossible, to secure such corporate authority as could or should be scorpted now by

he bank in the discharge of its obligation.

The patition is therefore dismissed without prejudice to any action which may be brought under a receivership. Each party will pay its own costa mato in his carİSA.

His Honour gaid that Mr. Lamme was a liberty to apply for the appointment of a receiver for the company.

Mr. Lamme said that such an apprictment would be void. He would like to withdraw the certificate from the Court as he intended to commence a new suit in the United States District Court of California.
