Our correspondent says that at the meeting in question the shareholders supposed that they "had received an offer," as we explained in this column at the time, "of 12 108. in cash and £16 in scrip for each share, and that it was simply matter of settling details with res. pnsible parties in London, though there was an off chance that the negotiations might fall through owing to the said details not bein satisfactory. This iden seems to be refuted, however, by the circular above referred to. The details seem to be all right. but the substantive offer all wrong, and the Responsible Syndicate has apparently degenorated into the ordinary genus of Company Promoter... Why should our managing directors ask for more time to Host the company in 1 oudon, and what have we abareholders to do with the actions of company promoters at home? What we voted for was the acceptance of u more or less definite offer and not to have our property hawked all over the Loaden market."

It was hold out to the shareh-lders that they would receive the equivalent (at 2a. 6d. per tael) of Tis 28 per share, in cash and serip, which would alone require a capita, as we explained before, of £1,573,200 of Ts. 12,585,600. Now the com-- bined capital of the three companies before their amalgamation was Tis. 2,350,000. The amalgamation raised it t Ths: 5,520,000," on which sum the company paid for the last-con- pleted year a dividend of 12 per cent. It is not proposed apparently that the new company shall have a larger capital than £1,200,000, say Tls. 9,800,000, the further money required being raised by debentures, the interest on these, as they would be first charge. being naturally less than the shareholders expect as dividend The trouble now is that it turns out after all that this was only somebody's scheme, and not a definite effor at all. It would seem therefore that the shiro- holders were a litt e premature in passing the three résolutions which were onrried at the mesting already referred to.

Our correspondent ro's on to make some comments on the recent fluctuations in the quotations of the shares in the company, and he inters that the recent decline in their value ie partly due to the disappointment of the shareholdera. It is doubtless partly due to the rise in exchange. This, however, is a matter for the shareholders, in which the public

generally is not so much interested as it is lu the

question of the future of the company; wether it will continue to be a purely local company as it has been in the past, or whether it will become a London enterprise extending its aime and its works under the invigorating influ-nce ofs stream of English capital; ·

The following is an extract from a latter in the N.-C. Daily News.

"It appears to me, as an outsider, that there "something rotten in the stato of Farn- ham's." and that new blood and fresh energy are required to set muttare right. There exists a certain feeling of doubt, and even distrust, with the actions of the Directors, whose in- terests do nor soom to travel in the same direc ion. ne those of the shareholders. I have before me the Annual Reports of the Compay for the years ending 30th April, 1902, 1903, and 1904, which show the following. results respectively :--

under the head of Assets, which foot seeine to indicate, at least, a laissez-faire" method of bookkeeping, unusual in well-managed concerns I do not go further back than 1902, because I lave not had an opportunity of seeing the Reports prior to that year.

Now with regard to the famous "scheme" which was laid before the shareholders at the meeting held on the 26th of September Jast

here seems little doubt but that an entirely wrong impression was conveyed to the shar holders in the statement made by the Chairman at that mesting, in which he distinctly said that they were there to consider a “definite offer accompanied by certain conditions which were not then fully understood, but, that it "looked all right." Mr. Twentyman must now have been in London a month at least, and yet there is no indication that he has ascertained

the nature of those conditione to which le referred, and upon which the acceptance er rejection of the offer depended. On the contrary, the telegram which was reforred to in a circular letter a fow days ago, made no mention of any offer at and from the wording of the message, it rather looks as though the object of Mr. Twentyman's endeavoure in to raise the necessary capital in order to carry through his schemo. If this is the caso, it is hardly to be surprised at that he should requiru more time, and I think both "Anxious" and Sanguine" Shareholders may safely dismiss from their calculations the possibility of de iving any bensfit from this latest scheme of Mr. Twentyman's.

In case A Sangaine Shareholder" should to able to read between these lines, and detect the writer's object, I may add for his informa tion, and to enable him to arrive at a correct plation, that I am neither "short seller" nor "forward buyer." I am not now, and never have been, a shareholder of the Dock Company, and whilst my intellect continues unimps red, zaver will be."
