1. That the Capital of the Company be increased from $1, 00,000 (divided into

· 100,000 shares of 810 each) to $1,500,000 (divided into 150,000 shares of $10 each) by the creation of 50,000 new shares of $10 each to be offered and if accopted to be allotted to the prosent shareholders of the Company at par în the ratio and proportion of eno now share for every two old shares in the Company held by the respective shareholders thereof, the amount payable on each of each new shares respectively to be paid at such time or times and in ench manner as the Company by its General Maungers may hereafter determine."

2. "That Article No. 8 of the Articles of Association of the Company be. cavo lled and the following Article substituted therefor

*The remineration of the General Managers shall be $4,000 per annum (which shall saver office rant but not salaries of Beoretary and other employees) and a commission of 5 per cent, of the net profits of the Company for each year that such proßts smount to 7 per cent. of the Capital of this Company.

Should the above Resolutions be duly passed they will be submitted for confirmation as Epecial Resolutions to a Second Extraordinary General Meeting which will be subsequently contened.
