Rees Davies to-day, and think that we must support the Hong Kong case so far as we reasonably can, i.e. so far as their proposals do not entail legislation which would be ultra vires of the Hong Kong legislature. The Law Officers advised (report of 20th June 1908) that it was not ultra vires for the Legislative Council of Hong Kong to pass Ordinance 16 of 1907 enabling Companies registered under the Hong Kong Companies Ordinance 1865 to keep local registers of their members outside the Colony, e.g. in Shanghai, and therefore we can contend that sections 35 to 37 of the new Hong Kong Bill, which practically re-enact the above mentioned Ordinance, should be made applicable to Companies which carry on business in Shanghai, The alternative is to establish a register of Companies in Shanghai, but this would be attended by both legal and practical difficulties and would mean a considerable loss of revenue to Hong Kong. The difficulties are indicated in the various memor- anda which have been written by Sir H. De Saumarez and Mr. Rees Davies and his colleagues, and what seems to me to be the chief legal difficulty is mentioned below. The late Governor and less strongly, the present Governor in favour of the appointment of Mr. Alabaster a local K. C. on the ground of his knowledge of the Colony and of Chinese affairs. We agreed that such knowledge was not indispensable for a legal officer. Personally however I was in favour of the appointment of Mr. Alabaster (a) Because I thought that knowledge of Chinese affairs and customs, though not indispensable, was certainly desirable especially in such critical times. Attorney General no doubt would be called in to assist in the drafting of such an instrument as the Chinese Customs Agreement in which mixed questions of law and fact are very prominent. (Personally in the absence of local knowledge I have never been able to understand how the restriction and proposed restrictions on Chinese and British ships trading to various ports operate). (b) Because Mr. Alabaster in respect of his services since 1912 as M.L.C., as acting A.G. on several occasions and as reviser of the Co.'s laws, deserves some recognition, and will be experience for the permanent post. (c) Because I am not satisfied that Mr. Prior, who seems the only outside candidate who is actually available, is of outstanding ability such as to reconcile local feeling to passing over the strong local candidate.
