This would create an atmosphere of \nuncertainty and dismay and eventually put a \nstopper on development in the leased area.\n\nSome discussion ensued as to whether \nor not this was an appropriate time to raise the \nquestion at home. It seemed clear that it \nwould have to be submitted to the Cabinet, and \nit was doubtful whether the Cabinet would be \nprepared to authorise action which might conflict \nwith the legal advice tendered to them. On the \nother hand, it was felt that a case could be made \non the political side, and even if this case did \nnot find favour with the Cabinet, Hong Kong would \nbe no worse off than it is now. We cannot, \ntherefore, lose anything by raising the question, \nand we may possibly gain an important decision \nin our favour. It was decided that if this \ncourse met with general agreement, we should \nprepare a Cabinet Memorandum based on the telegrams \nexchanged with Hong Kong in 1926, conveying an \nassurance to the Governor that we would be in no \ncircumstances",

E. Stubbs' despatch No.251 dated 12th June, 1924, and Mr. J. H. Thomas' despatch No.238 dated 1st August, 1924, on the subject of a grant of an area of land on Stanley Peninsula for the re-erection of St. Stephen's College.\n\n2. The subsequent general financial stringency arising out of the strike and boycott in 1925 caused the question to be deferred and, when it was again approached, the Council of the College found itself unable to raise the sum of $500,000 stipulated in paragraph 2 of Mr. Thomas' despatch. It was, therefore, decided by the Governor in Council that the proposed terms should be modified and that a building lease of seventy-five years, renewable, should be granted only in respect of Rural Building Lot No.514 (shown edged red on plan enclosed), subject to a rental of $20.00 per annum and a building covenant of $200,000 to be completed within three years. The remainder of the area originally suggested was granted as a garden lot on a 21 years' lease at a rental of $24 per annum, but with a right\n\nTHE RIGHT HONOURABLE\n\nLORD PASSFIELD,\n\n&c.,\n\n&c.,\n\n&c.\n\nof",

        "content_text": "2.\n\n5\n\nof conversion subject to rents and covenants to be fixed by Government.\n\nAfter some delay these terms were finally accepted in March, 1928, and the grants made accordingly.\n\nThe Council of the College has subsequently applied for and been granted conversion rights in respect of Rural Building Lots Nos. 318, 319, 320, 321 and 322 at rentals of $12.00, $2.00, $2.00, $2.00 and $2.00 per annum respectively, and subject to building covenants of $50,000, $7,500, $10,000, $2,000 and $7,500 respectively to be completed within two years of the date of grant viz. 1st June, 1929.\n\n4.\n\nThe Council of the College has further applied for and been granted, as an extension to the area shown edged green on the plan, the area cross-hatched green to the north of Garden Lot No. 76 subject to the same terms; viz. 21 years lease, Crown Rent of $1.00 per acre, with restrictive covenants as to user and alienation and with the same rights of conversion, subject to reassessed Crown Rent and building covenants to be fixed by Government.\n\n5.\n\nI may mention that the areas shown in black within Garden Lot No. 76 are the old barrack and gun emplacement sites of the original military cantonment, of which practically all traces have disappeared. A right of access along the road marked in brown on the northern boundary has also been granted.\n\nThe plan attached is not a detailed survey, but is sufficiently accurate for the present purposes.\n\n6.\n\nThe question of Government financial assistance in the form of a building grant has not arisen, as",

        "content_text": "Enclosures 2 & 3.\n\n3.\n\n6\n\nas the school has not in fact been brought under the\n\nEducation Ordinance, 1913.\n\n7.\n\nThe College authorities were informed on\n\n22nd September, 1927, that the arrangements were subject to\n\nthe approval of the Secretary of State and it was intended\n\nto submit the matter for Mr. Amery's approval when the terms\n\nwere agreed upon. I regret that the necessity for obtaining\n\nMr. Amery's approval was overlooked when the grant was\n\nafterwards made to the College authorities, who were by then\n\nurgently pressing for permission to commence building owing\n\nto the insecurity of their tenure of the premises then in\n\nuse. I am satisfied that the College is one to which the\n\nGovernment can properly grant land on the terms arranged and excellent scholastic buildings have already been erected and\n\nbrought into use.\n\n8.\n\nI should be glad to receive your covering\n\napproval of these grants, and the terms and conditions\n\nthereof, copies of which are annexed.\n\nI have the honour to be,\n\nMy Lord,\n\nYour Lordship's most obedient,\n\nhumble servant,\n\nW.D. Purchaser shall apply to the Director of Public Works for the site and shall not commence any operations for building thereon until the Director of Public Works has approved the plans. If the Purchaser shall build otherwise than in accordance with the alignment of the Lots as set out herein, he shall when called upon to do so, alter the same accordingly.\n\n3. The Grantee shall execute and take up a Crown Lease for the Lot when called upon to do so by the Land Officer, for which purpose all estates or interests whatsoever in the Lot or any part thereof created since the date of this agreement by way of Mortgage, Charge or otherwise then outstanding shall thereupon forthwith be previously reassigned or satisfied and an endorsement by the Land Officer on these Conditions that Plans of the Lot or any specified part thereof are in the Land Office and that the Crown Lease thereof must be taken up before any further dealings with the Lot or such specified part can be registered, shall be deemed to be a sufficient requisition to that effect, and shall pay to him, therefor, the prescribed fee.\n\n4. No sewage or refuse water will be allowed to flow from the Lot or the adjoining lands whether belonging to the Crown or to private persons; neither shall any decaying, noisome, noxious, excrementitious, or other refuse matter be deposited on any portion of the Lot and in carrying out any works of excavation on the Lot no excavated earth shall be deposited on the Lot or (with permission) on Crown Land adjoining, in such manner as shall expose the slopes of such excavated earth to be eroded and washed down by the rains, and all such slopes shall be properly turfed and, if necessary, secured in place by means of masonry toe walls. The Grantee shall see that all refuse matters are properly removed daily from off the premises.\n\n5. The Crown Rent of the Lot shall commence from the date on which possession is given and the Grantee shall pay into the Colonial Treasury a proportionate part of the annual rental specified in the particulars hereinbefore contained on the next half-yearly day on which Crown Rent is payable and thereafter shall pay such annual rental by equal half-yearly payments on the 24th day of June and the 25th day of December in each and every year during the term of 2 years hereinbefore mentioned.\n\n6. Premium received will be adjusted to the nearest even dollar at the rate of $100 per acre per annum.\n\nshall\n\n7. 11. When the General and Special Conditions herein contained have been complied with to the satisfaction of the Director of Public Works, the Grantees shall be entitled to a Lease from the Crown of the Piece of Ground comprised in such Lot for 72 years, to commence on the date on which possession shall be given at such Annual Rental payable half-yearly on the 24th day of June and the 25th day of December in each and every year as is specified in the Particulars of such Lot hereinbefore contained, and such Crown Lease shall be subject to, and contain all Exceptions, Reservations, Covenants, Clauses and Conditions inserted in the Crown Leases of similar Lots in the Colony of Hong Kong, or which may be required for the purpose of providing for or carrying out any of the General and Special Conditions herein contained affecting the said Lot or the title thereto. The Grantees shall apply to the Director of Public Works for the Lot to be set out on the ground and shall not commence any operations for building thereon until the Lot shall have been so set out by Director of Public Works. If the Grantees shall erect any building otherwise than in due accord with the alignment of the Lot so set out as aforesaid shall when called upon by the Director of Public Works so to do demolish such building and shall rebuild upon the correct alignment. If the Grantees shall when required by the Director of Public Works so to do fail to demolish any such building as aforesaid it shall be lawful for the Director of Public Works to cause such building to be demolished and the Grantees shall on demand pay to the Director of Public Works the amount certified by him to be the cost of such demolition. A certificate purporting to be signed by the Director of Public Works as to the alignment of any building or as to the cost of demolition shall be final and conclusive evidence as between the parties hereto as to the facts certified therein.\n\n4.         "content_text": "(2) In case it is at any time shown to the satisfaction of the Governor in Council that the buildings upon the said lot have ceased to be used for the purposes for which the same were erected as provided by condition (a) or that the average attendance of pupils has fallen so low as to render the continued use of the lot for the purposes of a school no longer in the general interests of the Colony it shall be lawful for the Governor to re-enter upon the lot in like manner as for any other breach of the terms of the Crown Lease.\n\n(3) The Grantees shall not sell, assign, mortgage, charge, demise, underlet, part with the possession or otherwise dispose of or encumber the lot or any part thereof or any buildings thereon without the consent of the Governor in Council first had & obtained.\n\n(4) The Crown Lease shall contain such covenants as shall be necessary to give effect to these conditions.\n\n(b) The height, design of the exterior elevations & the disposition of any building to be erected on the lot to be subject to the special approval of the Director of Public Works.\n\n(c) The Grantees shall develop the lot to the satisfaction of the Director of Public Works and for this purpose shall provide a general lay out plan for approval by that officer before any buildings are commenced.\n\n(a) The Grantees shall construct substantial retaining walls where necessary, to obviate landslips in the event of their cutting away the hill to level the site. Should a landslip occur as a result of such cutting or levelling, the Grantees will be held responsible for any damage resulting from or brought about by such landslip.\n\n(e) The drainage of any buildings erected on the lot shall be disposed of as may be required by the Director of Public Works, and the Grantees must make all arrangements at their own expense and to the satisfaction of the Director of Public Works for the disposal of foul or contaminated water by the construction of septic tanks or otherwise as that officer may require, and the Grantees shall be solely liable for any damage or nuisance caused thereby.\n\n(f) In the event of its becoming necessary or advisable for consideration of the health to carry out training works in the vicinity of the lot, Grantees shall pay into the Colonial Treasury the total cost of such works. The work will be carried out by the Director of Public Works.\n\n(g) The Grantees shall make their own arrangements with regard to water supply.\n\n(h) The Grantees shall pay into the Colonial Treasury, on demand, the cost of removing any Chinese graves at present on the area, if such removal becomes necessary; the work to be done by the Tung Wah Hospital Authorities.\n\n(j) A right-of-way from Stanley Village to the lot on such lines as may be approved by the Director of Public Works will be given. The Grantees shall construct a road or path on the piece of ground over and along which such right-of-way shall be given at such time or times and in such manner as the Director of Public Works may direct and shall uphold, maintain and repair such road or path and every thing forming portion of or appertaining to it to the satisfaction of the Director of Public Works, and the Grantees shall be responsible for the whole as if they were absolute owners thereof. Any alteration of the Government road to which the right-of-way is given absorbing a portion of such ground or affecting the gradient thereof shall not give rise to any claim by the Grantees who shall carry out all consequent alterations to such road or path constructed by them.",

A copy of the terms and conditions, which have been accepted by the Council, is also attached. These follow the lines on which the original grant of G. Lot No.76 to the Council of St. Stephen's College was made; viz. twenty-one years lease, Crown Rent of $1.00 per acre, with restrictive covenants as to user and alienation and with the same rights of conversion, subject to reassessed Crown Rent and building covenants to be fixed by Government.\n\n2. The two areas are adjacent to the lot on which St. Stephen's College stands, and are for the purpose of a Preparatory School. XX The Grantee of the new Lots shall execute and take up Crown Lease Lot S when called upon to do so by the Land Officer, for which purpose all estates or interests whatsoever in the Lots or any part thereof created since the date of this agreement by way of Mortgage, Charge or otherwise then outstanding shall thereupon forthwith be previously reassigned or satisfied. An endorsement by the Land Officer on these conditions that plans of the Lot 8 or any specified part thereof are in the Land Office and that the Crown Lease s thereof must be taken up before any further dealings with the Lots or such specified part can be registered, shall be deemed to be a sufficient requisition to that effect, and shall pay to him, therefor, the prescribed fee.\n\n4. XIX No sewage or refuse water will be allowed to flow from the Lots or the adjoining lands whether belonging to the Crown or to private persons; neither shall any decaying, noisome, noxious, excrementitious, or other refuse matter be deposited on any portion of the Lots. In carrying out any works of excavation on the Lots, no excavated earth shall be deposited on the Lots or (with permission) on Crown Land adjoining, in such manner as shall expose the slopes of such excavated earth to be eroded and washed down by the rains. All such slopes shall be properly turfed and, if necessary, secured in place by means of masonry toe walls. The Grantee shall see that all refuse matters are properly removed daily from off the premises.\n\n5. XX The Crown Rent s of the Lot shall commence from the date on which possession shall be given. The Grantee shall pay into the Colonial Treasury a proportionate part of the annual rental specified in the particulars hereinbefore contained on the next half-yearly day on which Crown Rent is payable. Thereafter, the Grantee shall pay such annual rental by equal half-yearly payments on the 24th day of June and the 25th day of December in each and every year during the term of years hereinbefore mentioned.",

        "content_text": "## L.S.O. 7.\n\n6. The exact boundaries of the Lots shall be determined before the issue of the Crown Lease. Crown Rent will be adjusted to the nearest even dollar at the rate of $1.00 per acre per annum.\n\n7. When the General and Special Conditions herein contained have been complied with to the satisfaction of the Director of Public Works, the Grantees of the Lots shall be entitled to Leases from the Crown of the Pieces of Ground comprised in such Lots for years, to commence on the date on which possession shall be given at such Annual Rental payable half-yearly on the 24th day of June and the 25th day of December in each and every year as is specified in the Particulars of such Lots hereinbefore contained, and such Crown Leases shall be subject to, and contain all Exceptions, Reservations, Covenants, Clauses and Conditions inserted in the Crown Leases of similar Lots in the Colony of Hong Kong, or which may be required for the purpose of providing for or carrying out any of the General and Special Conditions herein contained affecting the said Lots or the title thereto.\n\n8. Should the Grantees neglect, or fail to comply with these Conditions or any of them, His Majesty shall be at full liberty to sell the Property either by Public Auction or Private Contract at such time and place and in such manner as to His Majesty shall seem fit, or at the option and pleasure of His Majesty, to re-enter and resume the property as if no grant had ever taken place.\n\n9. Possession of the Lots granted shall be given to the Grantees and deemed to have been taken by them on the date of a letter from the Director of Public Works stating that the Lots are at the disposal of the Grantees.\n\n10. The expression \"Grantees\" used herein shall in every case include the Grantee or Grantees and where the context so admits or requires their executors, administrators or assigns, and in the case of a corporation its successors or assigns.\n\n11. The foregoing General Conditions shall be read and construed as varied or modified by the Special Conditions hereinafter contained.\n\n## SPECIAL CONDITIONS OF GRANT HEREINBEFORE REFERRED TO.\n\n(1) The Grantees shall not sell, assign, mortgage, charge, demise, underlet, part with the possession or otherwise dispose of or encumber the Lots or any part thereof or any buildings thereon without the consent of the Governor in Council.\n\n(2) During the terms of lease of the areas coloured red on plan, the Grantees shall have the option of converting such areas as Government may approve into Building Lots for a term of 75 years for the purpose of erecting buildings in connection with St. Stephen's College. Any areas so converted shall be subject to Crown Rent at the rate of $10.00 per acre per annum and to the same terms and conditions as those appertaining to the areas coloured red on plan.
