MEMORANDUM OF AGREEMENT made the 24th day of March, One thousand nine hundred and forty nine BETWEEN THE HONG KONG TELEPHONE COMPANY, LIMITED (hereinafter called "the Company") of the one part and THE HONG KONG GOVERNMENT (hereinafter called "Government") of the other part.

3. The question put forward by Government under clause 1 of this Agreement shall be decided by the arbitra- tors as a preliminary question. After the arbitrators have decided the said preliminary question they shall proceed to decide the questions put forward by the Company in clause 2 of this Agreement,

There shall also be referred to the award and final determination of the arbitrators all other matters in differ. ence between the parties arising out of or relating to Sec- tion 40 of the taid Ordinance or the subject matter thereof or as to the rights duties or liabilities of either of the parties in connexion with the said Section 40. -

For the purposes of the arbitration the following matters are agreed:—
(a) The Company has given the Government the re- quisite 3 months' notice of the Company's require- ment for a revision of the said rates of subscrip- tion.
(b) The said rates of subscription and other charges referred to in Section 40 were last revised by Government more than 2 years ago: that is to say in the Gazette of 9th February, 1948, the Company was authorised to impose, with effect from 1st September, 1945, rates of subscription and other charges as follows:-
(1) $15 per month (ie, $180 per annum) per ex-

annum;
(2) For all other charges an increase of 50% over
those ruling on 8th December, 1941.
(c) The Company is maintaining an efficient service.
(d) The arbitration shall be held in public.
