PROXIES AND VOTES.

IMPORTANT DECISION IN APPEAL CASE.

A decision of some importance to the investing public and also to directors of public companies has

just been given by the courts in the uppent case Cousins and Another v. International Brick Co. Ltd., and Another. The point at issue was whether a shareholder who had given a proxy to be used at a 'tom- pany meeting was entitled to attend In person and vote, and thereby revoke the proxy. The courts. Eave held that on principle there is no ground for refusing the votes given personally by the share- holders and accepting the vote of the proxy "who is merely an agent of the shareholders."

.

In the words of Mr. Justice Luxmoore a shareholder could, as between himself and the proxy determine tho

agency at any time, and the agent WAX not entitled to vote If the agericy had been

determined. When the vote of a shareholder was cast by him himself the company was bound to accept it, notwith- standing thata validly appointed proxy had also purported to vote.
