THE SHANGHAI HOTELS, LIMITED.
NOTICE IS HEREBY GIVEN that an Extmordinary General Meeting of the above Company will be held at the Hongkong Hotel, Pedder Street Victoria, in the Colony of Hongkong, on MONDAY, the 15th day of OCTOBER, 1923, at 11.30 o'clock in the forenoon, for the purpose of considering and, if thought fit, passing the following Resolution as an Extraordinary Resolution, namely:
1. That it is expedient to effect an amalgamation of this Com
pany with The Hongkong Hotel Company, Lunited, wimao Registered Office is situate at Victoria" in the Colony of Hongkong and with a view thereto that this Company be wound up voluntarily and that Walter John Hawker, of Vietoria, in the Culóny of Hongkong, be and he is hereby appetite Liquidator for the purpose of such winding up with full power to delegate all or any of his duties as he in his alisulute discretion nay think it for the purpose of appointing a person or Corporation in Shanghai in the Republic of China to act in conjunction with hit and under bis control and as his Agent for the purpose of carrying out such liquidation.
2- That the Conditional Agreement submitted to the Meeting for the Amalgamation of this Company with The Hongkong Hotel Company, Limited, upon the terms finter alia) of the arquisition by The Hongkong Hotel Company. Limited, of the complete undertaking, business, goodwill and property of this Company in return for the issue to members of this Company other than The Hongkong Hotel Company, Limited, ni-Two shares of The Hongkong Hotel Company, Limited, of the nominal value of Ten Dollars ($10.00) each credited as fully paid up in respect of each and every complete stare bold by such members of this Company, respectively, he and the site is hereby approved and that the Liquidator be and he is boroby authorised, pursuant to Section One indred and eighty-five of the Companies Ordinance, One thousand uine hundred and eleven, to adopt the said Agres mom and entry the sans into effect with such (if any modifications either before or after the execution therref as the said Liquidator may think expedient.
N.B. A copy of the said Conditional Agreement may be inspected at any time during business hours of the Registered Office of the Company, Purell's Building, Dea Vorne Road Central, Victoria, Hongkong, and also at the office of Messrs. Deacon, Hurston & Shenton, No. 1, Des Yene Road Central aitresaid, the Solicitors to his Company and also of the Shanghai Offer of the Company, Na, 14, Kinkiang Road. Shanghai.
3.- That the aforesaid shares of The Hongkong Hotel Company, Limited, shall be allotted to snel aforesaid members who are on the Register of Shareholders of this Company on the dato of the confirmation by this Company of the Special Reschu tion confirming the said Conditional Agreement.
N.B. The shares of The Hongkong Hotel Company, Limited, ta be allotted tinder the said Conditionat Agreement to such aforesaid members of this Company will participate in all dividends declared by The Hongkong Hotel Company, Limited, in respect of the financial year ending 31st December, 1993, pari passu with the existing issued shares POP) of The Hongkong Hotel Company, Limited. That the Liquidator he and he is hereby authorised to give such consent as may be necessary to the name of The Hongkong Hotel Company, Limited, being changed to "The Honglong and Shanghai Halels, Limited." SHOPLD THE ABOVE RESOLUTIONS be passed by tra requisite najority they will be submitted for confirmation as Special Resolutions to a 'Serond Extraordinary General Meeting to be held at the Hongkong Harel, Pediler Street aforesaid, on WEDNESDAY, the 31st day of OCTOBER, 1923, at 11 o'clock in the forenoon, for the purpose of considering and, if thought fit, confirining such Resolutions as Special Resolutions accordingly.
NOTICE IS HEREBY-ALSO GIVEN that-Registered Share- holders of this Company any attend the abovo mentioned Meetings and vote thereat in person or by Proxy' provided that all Proxies and the Powers of Attorney 6f anyi under which the same are signed are deposited duly stamped at the Head Office of the Company (nainely, the Registrul Ofier of the Company at Pavell's Building, Des Voux Road Central. Hongkong, aforestili not less than Twenty-four hours before the time fixed for holding the waid Meelings.
Any Proxies or Powers of Attorney not deposited in accordance with the above provisions will not be available for use at the said Meetings.

PROSPECTUS:
ta.) This Company has been formed principally for the purpose
of building houses in the Colony of Hongkong with a view to meeting the great demand for housing accouneration which exists in the 'olony at the present time.
48.) Tu particular it is proposed to take advantage of the offer recently nude by the Goverment for the grant of hand for building purposes on the basis of the scheme explained by The Colonial Secretary at a Meeting of the Legislative Council in June, 1923.
The Promoters are in a position to state that they have com- pleted negotiations for the acquisition from the Government of the plateau below "Jardine's Lookout," which is capable of accom- odating 150 to 2010 semi-detached houses. The Promoters are also in treaty with the Government for numerous other sites in good localities.
The Promoters have already received about 2,000 applications from persons desiring to obtain the assistance of this Company in building houses for the applicants.
The Promoters will also entertain, and, if thought advisable, take up any other scheme or schemes which may be proposed by the Government for the nequisition of land for building and development,
(c) The Company is also empowered by its Memorandum of Association to undertake business of all kind's connected with the development aï building areas.
(1.) The minimum subscription on which the Directors inay proceed to allotment is 100,000 shares.
(c.) No commission or prontation money is being paid by the Company.
(f) The Company will pay the preliminary expenses of and incident to the formation and floating of the Company down to the time when it becomes entitled to commence buisiness, and the estimated amount thereof is $5,000,
(g.) FREDERICK ELLIS will be the first Managing Director under a contract with the Company at a remuneration of & per cent. of the net profits of the Company....
(.) The Articles of Association provide that the qualification of a Director is to be the holding of 500 shures in the Company and that the remuneration of each of the Directors is to be $1,000 per annum.
(4.) None of the Directors or Promoters are interested in the promotion of the Company except to the extent of the shares taken by them in the Company,
(j) Copies of the Memorandum and Articles of Association of the Company can be inspected at the office of Messra, WILKINSON & GRIST, Solicitors for the Company, at any time during business hours.
(.) A copy of the Company's Memorandum of Association is annexed to this Prospectus and forms part of it.
