SHANGHAI DOCK COMPANY.

SHIPPING DEPRESSION AFFECTS.

YEAR'S WORKING.

Serious shipping depression during the past year, was, reported by Mr. John Prentice, chairman of the Shanghai and Dock and] Engineering Co., Ltd., at the seventeenth annual general meet- ing of shareholders held at the company's offices, 150 Broadway, on July 26.

Mr. Prentice was supported by Messrs. A Brooke-Smith, H. W. Lester and P. L. Knight, directors, Mr. I. Arnold Dawson, secretary, and shares represented totalled. 5.916.

After the secretary had read the notice convening the meeting, the Chairman sald: Gentlemen.--The reports and accounts having been in your hands for some days, with. your permission, we will take them as read.

NO SIGNS OF IMPROVEMENT. The serious depression in ship- ping, shipbuilding and repairing continued during the whole year; and, up to the present, there are no strong signs of improvement.

Taking into consideration the conditions ruling, the result of the year's working is, in our opinion, very satisfactory.

The net profit for the year, in- cluding the amount brought for ward from last year's accounts, after paying all charges and allow- ing for all liabilities, amounts to Tis. 516,534.76.

This we recommend be dealt with as follows :- Pay a dividend of Tis. 7.50 per share (10 per cent.) absorbing. And carry to new

We trust these recommend itions will meet with your approval.

We did not consider it necessary to add anything to the special re serve or depreciation funds. These now stand as follows:-

Maintenance has in all depart ments, as usual, been charged to working account.

£1000 TO CHARITY,

A resolution to give £1,000 to the Sailors' War Orphan Fund will be put later, and, we feel sure, it will meet with your approval.

The alterations to the Cosmopoli- tan Dock were suspended during the year on account of the great depression indocking, no prospects of improvement in docking require ments for some years to come and the high cost of timber, etc. The work will be resumed during the year.

Retura of capital: The return of Tis. 25 per share has been made on 54,874 shares-326 shares not yet having been sent in for endorse-

ment.

Your Directors have decided to start a provident scheme for the benefit of the foreign staff of the company, the date of the establish- ment is to be May 1, 1923.

Before proposing the adoption of the report and accounts, I will be pleased to answer any questions to the best of my ability.
