PROSPECTUS.

(a) This Company has been formed principally to acquire by purchase (under the terms of the Option and subsequent correspondenca therson Loreinsftar mentioned) froin Lane Crawford Limited (whose Bagistared Offee is situate at Ios House Street, Vistoria, Hongkong) and develop Sy building threon the land registered in the Land Office as Section A of Mariae Lot No. 7 and commonly known as "The Wiseman Site". aitaate in Des Voeux Road. Central Hongkong. The purchase price of the land is $1,000,000, $300,000 of which will be satisfied by the issue to Lane Crawford Limited of 30,000 shares of the Company credited As folly paid up. Of the remainder of the purchase price, 8148,781.50 will be paid in carb, and the balance of 8551,318.50 will be satisfied by the taking over by the Company, from Lans Crawford Limited of the Mortgage (repayable on the 30th April 1927) for that smount now subsisting on the proparty in favour of Lane Crawford Limited and carrying interest at 8% per annum.

In addition to the purchase price payable as above, the Company will under the Option hereinafter mentioned, pay the brokerage of, ona par cent on the purchase price amounting to 310,000 which is referred to in paragraph (b) hereof, and also indemnify Lens Crawford Limited to the extent of $36,594.30 in respect of the Plans and Specificatione referred to in paragraph (c) hereof.

The Option for the acquisition of such land bears date the ith day. of March 1028 and is made between Lane Drawford Limited us Venitors of the one part and Mr. W.EL. Bhedton, one of the partners ju the firm of Deacon, Hareton, and "Shantor the above mentioned Solicitors to the Company, as Trustee for the Company of the other part. A copy of this Option and the subsequent correspondsies thereon can be inspected, at the offices of the said Solicitors to the Company. (No. 1 De Vosar/Road Central, Hongkong) at any time during business hours. A copy of the Mortgage above referred to: which bears date the 5th day of May 1922, and in for a tarta of Five yours from that date can alad be inspected at the same place and time.

There are no other Contracts relating to this land to be acquired by the Company,

On the land to be soquired as above by the Company it is proposed to oroot modern sovou-storied building with a Buement, so as to afford, accommodation for Stores, shops, á Safe Deposit Vault and First-slam Offids Rooms, particularly suitable to professional people. The Site is considered to be specially favourable, for such a building, being to the centre of the business part of the City and close to the Hotels, Rants and Shipping Offices, eto, pe
