(a) This Company has been formed principally to acquire by purchass (under the terms of the Uption and subsequent correspondance therson heroinafter mentioned) from Lane Crawford Limited (whose Registered Office is altuate at Ice House Street, Victoria, Hongkong) and develop byshailding thereon the land-registered in the Land Office as Section A of Marine Lot No. 7 and, commonly known as "The Wisammu Sito" altuate in Das Voux Road Central Hongkong The purchase price of the land le 81,000,000, $300,000 of which will be satished by the issue. to Lane Crawford Limited af 30,000 shares of the Company credited aa fully pak up. Of the remsfader of 'the purchase price, 3149,781.50 will be paid la cash, and the balance of $551,328.50 will be satisfied by the taking over by the Company from Lane Crawford Limited of the Mortgage, (repayable on the 30th April 1927) for that amount now? subsisting on the property in favour of Lane Crawford Limited and carrying intarhat at 8% per annum.
In addition to the purchase price payable as above, the Company, will under the Option hereinafter mentioned, pay the brokerage of one per cent. on the-parsbase pripe amointing to $10,000 which is raferrod to in paragraph (b) hereof, and also indemnify Lane Crawford Limited, to the extent of $26,394.30 in waspses of the Plans and Specifications referred to in paragraph (c) hereof,
The Option for the acquisition of such land bears date the 8th day of March, 1933 and is made between Lane Crawford-Limited as Vendors of the ond part and Mr. W.E. LA Shenton, one of the partnere in the firm of Donga Harston and Shenton the above mentioned Solicitors to the Company, s Trustee for the Company of the other part. A copy of this Option and the subsequent correspondenca thereon can be inspected at the offices of the said Solicitors to the Company (No. 1 Des Voeux Road Central, Hongkong) at any time during business hours. A copy of the Mortgage above referred to, which bears date the 5th day of May 1922, and is for, a term of Five your from that data can also be inspected at the same place and time.
There are no other Contracts relating to the land to be soquired by the Company.
On the land to be seguired as above by the Company it is proposed foot a modern are storied building with a Bstament, so as to afford sccommodation for Stores, shops, a Bale Deposit, Vatilt and First-class Office Rooms, articularly suitable to professional people. The Site is considered to be specially, favderable for such building boing in the centre of the business part of the City and clows to the Hotels, Banks, and shipping Offices, store
