PROSPECTUS.

(a) This Company has been formed principally to acquire by purchase (under the terms of the Option and subsequent correspondence thereon: hereinafter mentioned) from Lane Crawford Limited (whose Registered Ofice is situate at Joe House Street, Victoria, Hongkong) and develop by building thereon the land registered in the Land Office as Section A of Marias Lot No. 7 and commonly known as "The Wiseman Site' sitaste in Das Vœux Road Central Hongkong. The purchase price of the land is $1,000,000, $300,000 pf which will be antified by the issue to Lane Crawford Limited of: 30,000 shares of the Company credited as fully paid up. Of the remainder of the purchase price, $148,781.50 will be paid in cash, and the balance of 8851,218,50 will be satisfied by the taking over by the Company from Lane Crawford Limited of the. Mortgage (repayable on the 30th April 1927) for that smsant now subsisting on the property in favour of Lane Crawford Limited and carrying interest at 8% per annum.A, LTE CAN ARABI

In addition to the parghase price payable as above, the Company will under the Option hereinafter mentioned, pay the brokerage of one per cent, on the parabane price amounting to 810,000, which is referred to in paragraph (6) hereof, and also indemnify Lane Crawford Limited to the extent of 826,394.30 in respect of the Plans and Speciffestions referred to in paragraph (c) hereof,

The Option for the acquisition of such land bears date the 5th day: of March 1929 and is made between Lane Crawford Limited ca Vendors of the one part and Mr. W. EL Bbanton, one of the partners in the arm of Dosson, Haraton aud. Shantou the above mentioned............ Bolicibors to the Company, a Trustee for the Company of the other part. A copy of this Option and the subsequent correspondence thars on can be inspected at the offices of the sald Solicitors to the Company (No. 1 Des Voeux Road Central, Hongkong) at any time during business hours. A copy of the Mortgage above referred to which bears date the 5th day of May 1922, and fe for, a term of. Five yours. from that date can also be inmested at the same place and time.
