After the general manager bad read the notice convening the meeting, the

Gentlemen-Your Directors bave had in mind for sometime and think it is deshable to bring the Society's Articles of sociation up to date and to consolidate the various alterations and amend ments that have from time to time
taken place.
You will recollect that in 1917 the Society's Memorandum of Associa tion was altered under which the scope of the objects of the Society wer considerably enlarged.
The present Articles are dated 1909 and since that date, 13 years ago, several alterations and amendments have taken place in the Articles them. selves, and in the requiremente under the Compauira Ordinances of this Colony rendering the present Articles of Association not only out of date but in many cases inadequate.
The present Articles of Association Lave accordingly been re-d afted, re worded and clarified but the altera tions do not invest the Bociety with farther powers of any importance ather than would be firat subject to your approval or otherwise in meeting but renders the machinery for carry ing out and exercising the powera it already has more effective.
The present Articles and the new Articles bave been open to inspection to all Shareholders at Head Office. As stated in the Notice convening the Meeting, since the 8th July and all Shareholders outside the Colony bav been given Notice of this Mosting and of the Resolution you have just heard read, with ample opportunity of in- specting the Articles at the Society's various Branches and Agencies, and. as your Directora anticipated. Do objections bave been received.
With these remarks, I propose the following Resolution:-
"That the new Articles already approved by the Meeting and for the purpose of identification eub sorbed by the Chairman thereof be and the same are hereby adopted as the Articles of the Society to the exclusion of and in substitution for all the existing Articles thereof." After this has been seconded, I shall be pleased to a swer any questions to the best of my ability.
Mr. W. E. L. Shenton seconded and the motion was carried un animously.
