GENERAL MEETING of the SOCIETY wil be held as the regis tered Office of the Society, Nos. 9 and Queen's Building, Vistoria in the Colony ! Hongkong, on FRI- DAY, the Seventh Day of Novem- ber, 1919, at 12 o'clock Noon, when the subjoined Resolutions will be proposed:-

1. That the fusion of the interests of the Union Insurance Society of Cantom, Limited (in this and the following Resolutions refer- red to as "the Society "), and the North Chine Insurance Company, Limited (in this and. the following Resolutions refer- red to na the Company). be approved of and agreed to on the following:-

(6) That shares of the Society of the nominal value of £10 each, whereof 21-perj share shall be credited ce paid op be allotted to the shareholders of the Com- pany in exchange for the shares of the Company in the ratio of one and a half shares of the Society for each one phare of the Com pany (b) That the Society in addi tion make payment to the shareholders in the Co- pany of the sum of 20 tire -Founde) Sterling in cash for each one share in the "Com- pany held by such share! holders exchanging their shares in mazzer and upon tbe bosie mentioned in

clause (a) above.

2. That for the purpose of carrying into effect Resolution No. 1 (3) above, the Society do, issue 15,000 Shares of the nominai value of £10 each (whereof the sum of £4 per share is credited es paid up) out of its uniceved capital of 104,000 shares.

6. That the 15,000 shares referred to in Resolution No. 2 above us and when issued do rank for dividend and in el respecta pasi paséu with the existing! Ordinary Shares of the Society

and that the balance (if any) of euch 15,000 shares be dealt with in such manzer as the Board of Directors of the
