NOTICE.

UNION INSURANCE SOCIETY OF CANTON, LIMITED.

NOTICE IS HEREBY GIVEN that an Extraordinary General Meeting of the Socialy will be held at the registered office of the Society. Queen's Building, Hongkong, on FRIDAY, the 15th day of April, 1918, at 12 o'clock noon, when the Babjoked resolutions which were passed at the Extmordinary General Meeting of the Society held on the 10th day of April, 1819, will be submitted for con Armation as special resolutions

T. rate of exchange on the date this rmolution is conded as a special resolution credited as pard up thereon and accordingly that 80,000 shares out of the 200,000 abares of the nomical value of £10 each constituting the capital of the Society-so converted and increased be distributed by the Roard to the persons who are registered as shareholders of the Society on the date this resolution is confirmed as a special resolution in exchange for the silver shares then held by them.

That the Articles of Association be altered in manner following, namely:

16,000 shares of the capital of the Society be tested addi tionally to the 80,000 shares referred to in Resolution No. 1 and that the sum of £4 be called up thereon and that such addijonal shares be offered in the first instance at a premium of £1 per share to the persons who are registered as the abure holders of the Fociety on the date this Vesolution is passed in the proportion of one additional share for each silver share previossy bald and upon the footing that the sum of 24 called up plus the 21 (making together £5 per share) shall be paid to the Society on acceptance of the offer, and that such offer be rude by notice specifying the number of shares to which such persons are entitled and limiting the time within which the oder if not accepted by payment will be deemed to be declined to the 23rd May 1919, and that the Board be empow ered to dispose of the shares pot taken up in response to such offer as they consider expedient in the interests of the Society. Tast the 13,000 additional shares referred to in Resolution No. 3 participate in all dividends declared after the next Annual General fecting of the Society pro mats with the 80,000 shares referred to in Resolution No.1.
