1. That the Capital of the Company be increased from $1,000,000 (divided into 100,000 shares of $10 each) to $1,500,000 (divided into 150,000 shares of $10 each) by the creation of

50,000 new shares of $10 each to be offered and if accepted to be allotted to the present shareholders of the Company at par in the ratio and proportion of one new share for every two old shares in the Company hold by the respective shareholders thereof, the amount payable on each of such new shares respectively to be paid at such time or times and in such manner as the Company by its General Managers may hereafter determine.' 2. That Article No. 82 of the Articles of Association of the Company be can- celled and the following Article sub- stitued therefor: -

*The remuneration of the General Managers shall be $4,000 per au- num (which shall cover office rent but not salaries of Secretary and other employees) and a commission of 5 per cent. of the net profits of the Company for each year that such profits amount to 7 per cent. of the Capital of the Company.' Should the above Resolutions be duly passed they will be submitted for confirm- ation as Special Resolutions to a Second Extraordinary General Meeting which will be subsequently convened.

Ho deprecated the strong language of some of the members, which, with the highly-coloured comments at of the native press, were calculated to create the impression that the Imperial Government sought to impose India, charges which England ought to bear. Such a statement was absolutely un- justifiable. If the South African proposal was abandoned, some future Government of India would have to increase the permanent 5th garrison. It was because he favoured economy in keeping down India's military expenditure hat he assented to the proposal of the Government for negotiating a subsidy and an agreement with the Ameer, similar 1819 to the agreement with his father. He would do his utmost to secure the amelioration of the condition of Indians' already in South Afrio, and, unless an improvement was guaranteed, he would not ennction any pro- posals encourning immigration.

A Theftuoas Bookbinder.

A sentence of six weeks' hard labour was passed this morning by Mr T. Sercombe Smith on a bookbinder in the employ of Mess. Guedes and Co. for the theft of a quantity of paper. It appears that the suspicions of Messrs. Guedes and Co. were aroused, and upon searching a bag supposed to contain rubbish some valuable paper was found, and, after due enquiry, the book- binder was arrested. It was ascertained that the supposed 'rubbish' was taken regularly to a lane off Pottinger Street, where several sacks of paper wore found.
