an EXTRAORDINARY GENERAL MEET- ING of HUMPHREYS' ESTATE and FINANCE COMPANY, LIMITED, will be held at the COMPANY'S OFFICES, Nos. 38 and 40, Queen's Road Central, Victoria, Hong- kong, on SATURDAY, the 31st day of October, 1903, at Noon, when the Sub- joined Resolutions will be proposed, viz :- 1. That the Capital of the Company be increased from $1,000,000 (divided into 100,000 shares of $10 each) to $1,500,000 (divided into 150,000

shares of $10 each) by the creation of 50,000 new shares of $10 each to be offered and if accopted to be allotted to the present shareholders of the Company at par in the ratio and proportion of one new share for every two old shares in the Company hold by the respective shareholders thereof, the amount payable on oach of such new shares respectively to be paid at such time or times and in such manner as the Company by its General Managers may hereafter determine.'- 2.That Article No. 82 of the Articles of Association of the Company be can- celled and the following Articlo sub- stitued therefor

The remuneration of the General Managers shall be $4,000 per au- uum (which shall cover office ront but not salaries of Secretary and other employees) and a commission of 5 per cent. of the net profits of the Company for each year that such profits amount to 7 per cent. of the Capital of the Company.' A greater danger than over-production, and one that may intensi- fy the competition created by the surplus stock, is the strong speculative spirit which at the moment pervades American business; and this is not entirely forgotten in the report before us, although the general manager limits his remarks to a suggestion of the evil. Our Annual Reports during the past thirty years have chronicled many fina ncial panics and visitations of hard times. Prosperous as this country is to-day and has been for several years, it is not prosperous that it can digest all the speculative schemes that are continually being offered to the credulous and unthink ing; nor is there room or excuse for business enterprises, otherwise meritorious, that are projected far in advance of the wants of the present generation.' Such abnormal speculation means overproduc- tlon, with a diminution in financial resource and a decrease in requirements; and the danger, so far as Britain is concerned, lies in the recklesssness which must follow, especially in the disposal of surplus stocks, to which our ports are always open.
