12. Any dispute or difference whatsoever at any time arising between the Admiralty and the Corporation shall be referred to the sole arbitration of William Walton of Donnington Holt Newbury or (if he be dead or unable or unwilling to act) to a sole arbitrator to be appointed by the Chairman of Lloyd's for the time being The Arbitration shall be held in London and the Arbitrator shall have power to call for receive and act upon any evidence or information (whether oral or documentary and whether legally admissible as evidence or not) as he may con- Save sider necessary or relevant and in conducting the arbitration and making his award he shall not be bound to follow the strict rules of procedure or evidence as aforesaid the statutory provisions as to arbitration for the time being in force shall apply.

We are to take over the stores, subject to examination, sent out by Messrs. Mitchell, Cotts and Company, and will settle with these friends for their value.
We have instructed our Lagos house to retain any of the officers and engineers which Messrs. Mitchell, Cotts and Company have sent out, subject to these men being agreeable, otherwise to return them by the “Lucia."
Other outfit sent out by Messrs. Mitchell, Cotts and Company we will take over if required, or make other arrangements with them.
The vessel is to be dry-docked and thoroughly overhauled by the Government before delivery to us.
The period of hire is to be a minimum of six months or until the end of the war. We will attend to insurance.

WITH further reference to your communication of the 16th instant,* we are pleased to make a definite offer of £150 (one hundred and fifty pounds) net per month for the use of the 8.8. 'Marina," we paying all expenses, including insurance; or your Committee to have the option of insuring the vessel, charging us with the ་ Marina is, premium, but same not to exceed what we pay in the case of our own branch steamers.
Our branch service is not a profitable one to us, and the 8.8. unfortunately, too small a size to enable us to utilize the boat to better advantage out and home; otherwise, she would be more valuable to us.

We would be quite agreeable to accept Messrs. C. W. Kellock and Company's appraisement for value in the event of a loss, and for insurance purposes.

A telegram is being sent to the Governor-General of Nigeria giving him the necessary instructions in the matter.

We have to confirm the further arrangements made with you concerning this steamer. We agree to take charge of the vessel immediately and to carry out the necessary repairs, which are to be approved by the Government engineers. It will probably be necessary to send the boat to Forcados, where the dry dock is at present situated, and, as you request, we will arrange the transport and all work as econo- mically as possible. It is understood that whatever officers or engineers our Lagos house decides to retain will be paid on your account while standing by during repairs, and that their wages will be on our account from the day the repairs are completed and the steamer is in a seaworthy condition.
*Regarding the stores, we are taking these over from Messrs. Mitchell, Cotts and Company, subject to examination, and the quantity consumed during the period of repair will also be charged against the Government.
Our head office will cable out at once so that there shall be no unnecessary delay.
