LAW OFFICERS to COLONIAL OFFICE.

Lincoln's Inn, March 22, 1866. WE are honoured with your commands, signified in Sir Frederic Rogers' letter of the 20th March instant, stating that with reference to our reports of the 25th of November and 23rd of January, he was directed by you to transmit to us a copy of a further Despatch which has been received from the Governor of Victoria, in vindication No. 4, of the course adopted by him on the subject of the differences which had arisen between 22 January the Legislative Council and Legislative Assembly of that Colony; and also to enclose a draft of a Despatch, which Mr. Cardwell proposes to address to the Officer Adminis- tering the Government, in reply to Sir C. Darling's observations.

Sir Frederic Rogers was also pleased to state that he was directed by you to request that we would take these papers into our consideration, and favour you with our opinion, whether the draft Despatch conveys a proper answer to any legal considerations adduced by Sir C. Darling; and that you would be glad to be favoured with our answer in time for the mail of the 26th instant, on which day it is intended that the Despatch shall be forwarded.

In obedience to your commands we have taken these papers into our consideration, and have the honour to

That we are of opinion that Mr. Cardwell's (your) Despatch conveys a proper answer to the legal considerations adduced by Sir C. Darling.
