I am directed by Mr. Secretary Lyttelton to inform you that in his opinion the matter should be dealt with as follows:-

Mr. L. Fraser, the Secretary, and Mr. S. W. Gray should receive pensions at the rate of one-third of their final salaries, i.e., £200 per annum, and £66 13s. 4d. per annum, respectively.

The other clerks should receive a gratuity at the rate of one month's pay for each year of service completed at the date of taking over; that is to say:

Mr. E. Green a sum of £39, Mr. R. T. Woods a sum of £45 10s., Mr. P. H. Green a sum of £26, and Mr. R. E. Barratt a sum of £3 15s 10s.

I am to request that you will communicate with the Company's solicitors accordingly. The offer should be made without prejudice, and if it is not accepted the matter must be left to be dealt with under section 4 of the Ordinance.

Mr. Lyttelton is of opinion that neither the London Committee nor any of the Directors are entitled to compensation, but it does not appear to him to be necessary, that anything should be said to the solicitors on this point.

I am to enclose, for your information, copies of a telegram and despatch* which have been addressed to the Governor on the subject.

Messrs. Grayson expressed their willingness to give such information in documentary form, but expressed the opinion that as such information was known to the principals only, and being of some value, a fee would be required.

Finding it impossible to obtain the information otherwise, I suggested a fee of twenty to twenty-five guineas; but these terms did not prove acceptable, and Messrs. Grayson ask for a fee of one hundred guineas.

Messrs. Grayson and Company are the largest ship and engine repairers in this district, docking from 400 to 500 ships per year in the dry docks of the Mersey Docks and Harbour Board, and as this was about the volume of work obtained by the Tanjong Pagar Dock Company, I considered the case to be a parallel one, and the information desirable. I therefore wired you as follows:-

"I interviewed Messrs. Grayson, biggest ship repairers in Liverpool. They are willing to give all information require, but say, as this is confidential and requires the principal's time, that a fee of one hundred guineas is required, with further fee if asked for London interviews. I consider the information valuable and suggest compli- ance. In this case reply Trowell, Regulator, Liverpool.--TROWELL. The request for your reply being sent to Regulator was due to the Board of Trade Offices having closed.

No reply being received as yet, I take it you await further information, such as the present communication.

The fee is certainly heavy, and if other firms require similar remuneration it will perforce narrow the field of our inquiries to one establishment in each district. This, however, will prove sufficient if certified documents were given, of which we might make free use during the course of the arbitration.

I had hoped to obtain what I considered necessary without the payment of fees, and might yet do so as private personal information, but as this would be valuless to us I cannot but suggest, though regretting the heavy expenditure, that we obtain what is required irrespective of the expense.

Unless a definite reply has already been sent, would you please wire your opinion to Trowell, c/o Board of Trade Surveyor's Office, Liverpool.

Tanjong Pagar Arbitration.

Liverpool, August 12, 1905.

SIR,

I HAVE the honour to report that I interviewed Messrs. H. C. Grayson and Company to-day, and asked for detailed information in respect to their proportion existing between costs and charges for labour and material in executing repairs to ships and machinery.

Government Marine Surveys Office, Singapore, July 6, 1905. PLEASE find attached account Schedule No. 1, of coal stored on the premises of the Tanjong Pagar Dock Company, Limited, at midnight of the 30th June, 1905.

2. It will be noticed that the late Company give a surplus stock of 21,847 tons and in Schedule No. 2 a further surplus of 11,800 tons. As this 11,800 tons does not appear on Schedule No. 1, I take it the Company infer they do not press us to acknowledge the latter amount.

3. How this surplus is to be arranged a matter for consideration, but it is to be remembered that the Company do not possess coal which they have purchased at any time and their usual needs are met from surplus stock.
