Incorpora- tion.

Powers of the cor- poration.

"constitution" means the articles of constitution referred to in

section 3(2) and specified in the Schedule;

"hospital' means the Pok Of Hospital of Un Long in the New

Territories.

3. (1) The board of directors of the hospital and their successors in office shall be a body corporate hereinafter referred to as the corporation, and shall have the name of "Pok Oi Hospital" and in that name shall have perpetual succession and shall and may sue and be sued in all courts in the Colony and shall and may have and use a common seal.

(2) The articles of constitution specified in the Schedule shall be binding upon the corporation and a board of directors shall be appointed in accordance with the constitution the mem- bers of which shall be deemed to be members of the corporation after notice of their appointment has been filed with the Registrar of Companies.

(3) The board of directors on incorporation shall consist of the persons holding such office at the date of the Ordinance coming into operation.

4. (1) The corporation shall have power to acquire, accept leases of, purchase, take, hold and enjoy any lands, buildings, messuages or tenements of what nature or kind soever and wheresoever situate in this Colony, and also to invest moneys upon mortgage of any lands, buildings, debentures, stocks, funds, shares or securities of any corporation or company carry- ing on business or having an office in the Colony and also to purchase and acquire all goods and chattels of what nature or kind soever.

(2) The corporation shall further have power to grant, sell, convey, assign, surrender, exchange, partition, yield up, mortgage, demise, reassign, transfer or otherwise dispose of any lands, buildings, messuages or tenements, mortgages, deben- tures, stocks, securities, goods and chattels vested in the corpora- tion on such terms as to the corporation may seem fit: Provided that the powers of direction conferred by this section shall only be exercised for the purpose of endowing, supporting, maintain- ing, carrying on or otherwise promoting the work of the corporation as specified in the articles of constitution.

All deeds documents and other instruments requiring Seal, the seal of the corporation shall be sealed with its common seal in the presence of two members of the board of directors and shali also be signed by them and such signing shall be taken as sufficient prima facie evidence of the due sealing of such deeds documents and other instruments.

Nothing in this Ordinance shall affect or be deemed Saving, to affect the rights of Her Majesty the Queen, Her Heirs or Successors, or the rights of any body politic or corporate or of any other persons except such as are mentioned in this Ordinance and those claiming by, from or under them.

SCHEDULE.

ARTICLES OF CONSTITUTION.

1. These articles shall be cited as the constitution of the Pok Of Cltatlan, Hospital.

2. Lo this constitution-

"hospital" means the Pok Oi Hospital of Un Long;

"Ordinance" means the Pok Oi Hospital Incorporation Ordinance, 1954.

The hospital shall be called the Pok Oi Hospital.

The objects of the hospital shall be-

(e) to acquire, take over and carry on the hospital now known

as the Pok Oi Hospital, Un Long;

(b) to provide medical and surgical treatment and aid or any other assistance and sl·l remedies and requisites in case of accident or illness in the New Territories either gratuitously or in return for such payment as may from time to time be determined by the board of directors and to provide facilities for training in medicine, surgery, oursing and hospital work and the investigation of disease to the satisfaction of the Hon. Director of Medical and Health Services;

(e) to promote, execute, assist and maintain any other charitable work which has been previously approved by the District Commissioner, New Territories;

(d) to accept donations and bequests for all or any of the purposes aforesaid or for other purposes that can in the opinion of the board of directora be conveniently carried into effect by the hospital;

(e) generally to do all things necessary or expedient for the proper and effective carrying out of any of the objects aforesaid.

Subject to articles 4 (b) and (c), the supreme control, government Control of and management of all property and affairs of the hospital shall be vested hospital. in the board of directors,
